INMATE TELEPHONE AGREEMENT
ADDENDUM NUMBER 2
This Addendum, entered into the~ of May, 20 17, between Morgan County Ja il and the Sheriff of
Morgan County of the one part, hereinafter collecti ve ly "Sheriff," and Pay Tel Communications, Inc. of
the other part, hereinaf ter " Pay Tel" modifies the Inmate Telecommunications Agreement dated
D ecember 4, 1997, and Addendum I dated June 29, 2005 (hereafter collecti vel y refe1Ted to as the
"Agreement").
For and in consideration of the mutual promised and covenants contained herein, Pay Tel and Sheriff
hereby agree to modify the Agreement as follows:

I.
3.1 Term. The current term ending Dece mber 4, 2017 will be extended four (4) years, to and
including December 4, 202 1. This Agreement shnll be alllomatical ly renewed for successive four (4) year
terms unless written notice of intent 10 terminate is given by either party no more than 120 days and not
less than 60 days prior to the expiration of the then current term.

5.0 Equipment and Services Provided by Pav Tel. This sec tion is hereby expanded to include

the provis ion of inteleV !SlTr:- 1 Video Vi sitation Service. The Video Visitation deployment will i nclud~
20 Visitation kiosks ( 16 inmate stations - 14 in pod kiosks, I Medical Kiosk, I ponable kiosk, and 4
lobby visitor kioks) at locations spec ified for the project provided, install ed and maintnined by Pay Tel as
further described. Project details and financial terms are detailed in Attachment A to this Addendum.

Project includes:

• Electrical will be provided using Power Over Ethemel (POE).
• Pay Tel will perform the installation and training .
• Pay Tel will coordinate the delivery schedule and training with Morgan County .
County Responsibilities:
• Morgan County will be responsible for provision of adequate internet bandwidth - Recommended 6.3 Mbps

Morgan County will be responsible for installation of CAT6 wiring to each unit location
• Morgan County will be resoonsible for any partitions, furniture or seating desired for inmates and on-site visitors.
Other Terms:
• Pay Tel will provide on-site spare parts inventory including the following:

Fifty percent of the down payment ($4,550) will be invoiced to Sheriff upon execution of this Addendum
Number I and due upon receipt. The remainder of the down payment ($4,550) will be invoiced to Sheriff on
July I, 2017 and due fifteen days thereafter.
The remaining balance of $13,200 will be divided into 12 equal portions of $1. 100 which wi ll be deducted
from telephone comm issions paid monthly beginning with the July, 2017 commission payment. In the
event that commissions are insufficient to cover the monthly deductions, or Commissions are no longer
pennitted due to regulatory action, Pay Tel wi ll invoice the S heriff for the difference or the amount due as
aoolicable.
