APPENDIXB 1

INDEMNITY AND INSURANCE
Article 1. Indemnification

The Contractor shall indemnify, hold harmless, and defend the contracting agency from and
against any claim of, or liability for error, omission or negligent act of the Contractor under this
agreement. The Contractor shall not be required to ir'ldemnify the contracting agency for a claim
of, or liability for, the independent negligence of the contracting agency. If there is a claim of, or
liability f9r, the joint negligent error or omission of the Contractor and the independent
negligence of the Contracting agency, the indem nif/cation and hold harmless obligation shall be
apportionep on a comparative fa1..1l.t basis. "Contractor" and "Contracting agency", as used within
this and the following article, include the employees, agents and other contractors who are
directly responsible, respectively, to each. The term "independent negligence" Is negligence
other than In the Contracting a9ency's selection, administration, monitoring, or controlling of the
Contractor and in approving or accepting the Contractor's work.
Article 2. Insurance

Without iimiting contractor's indemnification, it is agreed that contractor shall purchase at its own
expense and maintain In force at all times during the performance of services under this
agreement the following policies of insurance. Wher!a. specific limits are shown, it is understood
that they shall be the minimum acceptable limits. lfthe contractor's policy contains higher' limits,
the state shall be ent!tred to cpverage to the exterit of such higher limits. Certificates of
Insurance must be furnished to the contracting officer prior to beginning wo(k and must provide
for a notice of cancellation, non~renewal, or material change of conditions in accordance with
policy provisions. Failure to furnish satisfac.tory evidence of insurance or lapse of the policy is a
material breach of this contract arid s)lall be grounds for termination of fhe contractor's services.
All insurance policies shall comply with and be issued by insurers licensed to ttansact the
busJness of insurance under AS 21.

2.1 Worke.rs' Compensation lnsuran~e: The Contractor shall provide ·anc;t maintain, for
all employees engaged in work under this contract, coverage as required by
AS 23:30.045, and; where applicable, any other statutory obligations including but not
limited t.o Federal U.S. L. & H. and ~ones Act requirements. The policy must waive
subrogation against the State.
2.2 Commercial General Liability Insurance: covering all business pr~mises and
operations used by the Contractor-in the performance of services under this agreement
with minimum coverage limits of $300,000 combined single limit per c.lairn.

2.3 Commercial Automobile Liability Insurance: covering all vehicles used by the
Contractor in the performemce of services µnder this agreement with minimum coverage
limits of $300,000 combined single limit per claim.

Scope of Work

Securus Technologies,. Inc. wiU provide an Inma~e Telephone System (ITS) to State of
Alaska correctional facilities as spedfied in Request For Proposals (RFP) 2016-2000_.
3362. All terms and cortditions contained in RFP 2016-2000-3362, including
amendments #1-#6, Sccurus Technologies proposal dated May 5, 2017 and Securus
Technologies cost proposi;tl dated September 1, 2017, are co.nsidered to be a p~ of this
contract document. In any case where contents of the Securus proposal conflict with the
terms and conditions of the RFP, the: terms & conditions of the RFP and this contract
supersede any other provisions (See Article 12, Appendix A).
The initial contract period will be from December 1, 2017, through June 30, 2020, with
the option to renew for an additional five one year terms. All terms and cOI\ditiops will
remain the same throughout all contract renewal periods. All renewal options are to be
exetcised solely at the di·screti<in of the State of Alaska, Department of Corrections,

Contract Commission Payments

Commission payments made to the Department of Corrections under this contract will be
made in accordance with the Offerors Fixed Ann\lal Commission Rate Percentage of
94.l % as submitted by Securus Technologies on Attachment 13 -Revised Cost Proposal
Form V3 dated September 1, 2017 (see attached 4 pages) and as a part of their proposal
dated May 5, 2017. See attached Collect Rates and Pre-Paid Collect Ra"tes (2 pages).
Commissio11 payments to the State shall be paid monthly for the Gross Monthly
Generated Revenues. Cmnmlssion payments shall be se11t to DOC
no later than 45 d!!ys after the close of the billing month. For example,. a cotnmission
check for calls made during April shall be forwarded to DOC no later than Ju:ne 15th. A
summary report shall be provided with each commission check that includes the
following:
A. Total conunission figure broken down by Institution; and
B. Listing of total minutes, total calls by Institution and call type.

services regarding RFP# 2016-2000-3362 for the Inmate Telephone System.

Securus fs proud to have partnered with the Alaska Department of Corrections (Al< DOC) to provide
technology solU(1ons the previous nine-plus Years. We look forward to the ppportunity to continue our
partnership.
Securus agrees to the requirement in ~ist 1 as follows:
Securus agrees that the Automated P;iyment fees wifl not exceed $3,00 per use throughout the
life of the contract.
2. Securus agrees that the Live Agent Fee will not exceed $5.95 per use throughout the lffe of the

3. Securus agrees that pa per/statement fees wlfl not exceed $2.00 per use throughout the life of
the contract.
4. Securus agrees that Local Call Rate will not exceed $0,07 per minute forthe first 15 minutes of
the call and will not exceed $0.02 per minute for every minute thereafter throughout the lffe of
the.contract.
5. Securus agrees that Local Cali Pre-Paid Debit Rate will not exc;eed $0.07 per minute for the first
15 minutes of the calf and wi1111ot exceed so.oi per mlnut~ for every minute thereafter
throughout the life of the contract.
6. Securus agrees that Interstate Collect Rate will not exceed $0.25·per minute throughout the life

In edditlon, Securus agrees to the following requirements in List 2:
1. Securus agrees that Per call or Pre-Connection charges are not allowed.
2. Securus agrees that that Flat-Rate Calllng for afl Inmate Services Is not allowed.
3. Securus agrees that no commission shall be pald on revenues earned through the completion of

Interstate calls for any call type received from the contract unless allowed by the FCC and

approved by the RCA.
Securus agrees there will be no profit or mark-up permitted for electronic: bill/statements

throughout the life of the contract. The cost wlll be passed through to the consumers with no
.profit or mark-up. The contractor can only recover their actual cost to provide the service.
s, Securus agrees that applicable taxes and regulatory fees shall be passed through to the
consumers directly wlth no mark-up throughout the life of the contract.
6~ Securus agrees that ttilrd-piirtV flnanclat transact[on fees such as MoneyGram, Western Union
and credit card processing fees shall pass through these charges to the end user directly with no
profit or mark·up. The c:ontr<1ctor can only recover their adual !:ost to provide the service.
